Terms of Service

These Terms of Service govern the products and services offered by 208Marketing Group LLC ("Provider," "we," "us"). The general terms below apply to all offers. Each offer also has its own specific agreement in the sections that follow. By purchasing a specific offer โ€” including by checking the acceptance box at checkout โ€” you agree to the general terms together with the agreement for that specific offer.

General Terms

Applies to all 208Marketing Group LLC offers.

Acceptance & Electronic Agreement

By purchasing any offer from Provider, including by checking the acceptance box and completing payment at checkout, you ("Client") enter into a binding agreement consisting of these General Terms and the specific offer agreement you purchased. You agree that your electronic acceptance at checkout has the same legal effect as a handwritten signature, and that the person accepting is authorized to bind the business named at checkout.

Governing Law & Disputes

These terms are governed by the laws of the State of Idaho, with exclusive venue in Ada County, Idaho. The parties will attempt to resolve any dispute in good faith before pursuing legal action, and the prevailing party in any action to enforce these terms is entitled to recover its reasonable attorneys' fees and costs.

Changes to Terms

We may update these terms from time to time. The version in effect at the time of your purchase governs that purchase. Material changes to an active recurring agreement will be communicated to Client, and any changes to a specific agreement must otherwise be in writing.

Severability & Entire Agreement

For each offer, the General Terms together with that offer's specific agreement form the entire agreement between the parties for that offer and supersede prior discussions. If any provision is found unenforceable, the remainder stays in effect.

Website Special Agreement

$250 one-time build fee + $20/month recurring service fee.

This Website Service Agreement (the "Agreement") applies when Client purchases the Website Special offer. It is entered into as of the date of purchase between 208Marketing Group LLC ("Provider") and the business named by Client at checkout ("Client"), and incorporates the General Terms above.

1. Services

Provider will design, build, and launch a website for Client, hosted and maintained by Provider. The website includes: mobile-first, responsive design; click-to-call; JSON-LD schema; display of business name, services, hours, service area, and contact information; and basic on-page setup to support search visibility. Scope is limited to five unique page designs unless otherwise agreed in writing.

2. Fees & Payment

  • Build Fee โ€” $250 (one-time), due upon purchase to schedule launch.
  • Monthly Service Fee โ€” $20/month, beginning on the launch date, billed monthly via auto-pay; covers hosting, domain, and minor content updates.
  • Billing authorization โ€” By completing checkout, Client authorizes Provider to charge the one-time Build Fee now and to store Client's payment method and automatically charge the recurring $20/month Monthly Service Fee each month beginning on the launch date, until the Agreement is cancelled as described below. The monthly amount is fixed at $20 unless changed by mutual written agreement. Client is responsible for keeping valid payment information current.
  • Late or failed payments โ€” if a payment fails and is not cured within thirty (30) days, Provider may suspend the website until payment is resolved. Suspension does not relieve Client of amounts owed.
  • No refunds or proration โ€” all fees are non-refundable, Monthly Service Fees are not prorated for partial months, and the final month following a cancellation notice is payable in full.

Recurring billing: You are agreeing to an ongoing $20/month charge to your payment method on file, starting at launch and continuing every month until you cancel with 30 days' notice as described in the Term & Cancellation section. You may cancel at any time subject to that notice period.

3. Domain & Hosting

Provider will register a new domain or connect a domain Client already owns, and will host the website as part of the Monthly Service Fee. Registration of one standard .com (or comparable) domain is included; premium domains are billed at cost with Client's prior approval. While this Agreement is active, Provider manages hosting and the domain on Client's behalf.

4. Revisions

The Build Fee includes up to two (2) rounds of revisions to content and design before launch. Minor text and photo updates after launch are covered under the Monthly Service Fee at Provider's reasonable discretion.

5. Out-of-Scope Work

Any feature, page, integration, or revision beyond the five-page scope and the two included revision rounds is out-of-scope. Out-of-scope work requires Client's written approval (email is sufficient) before it begins and is billed at $75/hour or a mutually agreed fixed fee. Provider will communicate any added cost or timeline impact before proceeding.

6. Client Responsibilities

Client will provide accurate business information, any logos or photos Client wishes to use, and timely approval of drafts. Client confirms it has the right to use all materials it provides. Delays in providing content or approvals may extend the launch timeline.

7. Timeline

Provider will aim to launch the website within twenty-one (21) business days after receiving payment of the Build Fee and all required content from Client. Launch dates are estimates, not guarantees, and may shift with Client feedback, approvals, or content delivery.

8. Term & Cancellation

This Agreement begins on the launch date and continues month-to-month. Either party may cancel with thirty (30) days' written notice. Upon cancellation: the Monthly Service Fee stops at the end of the notice period; the Build Fee is non-refundable once the site is live; and the website will be taken offline. Client may request transfer of the domain to Client's own account, and Provider will reasonably assist (registrar or transfer fees may apply).

9. Intellectual Property & License

Client owns all content and materials Client provides, and ownership of any custom copy or images Provider creates specifically for Client transfers to Client upon full payment.

Provider retains all ownership of its proprietary website framework, source code, templates, build systems, and design tools (the "Provider Platform"). Client receives a limited, non-exclusive, non-transferable license to use the live website on the covered domain only while this Agreement is active and all fees are current. Client may not copy, resell, sublicense, or reverse-engineer the Provider Platform, or use it to build sites for third parties.

Upon cancellation or termination, the license ends and the website is taken offline. Provider will, on request, supply a reasonable export of Client's content and a static export of the most recent live version where technically feasible, but is not obligated to provide source code, repositories, or build systems.

10. Client Indemnification

Client will defend and indemnify Provider against any claims, damages, or costs (including reasonable attorneys' fees) arising from the content or materials Client provides, including any claim that such materials infringe a third party's rights, or from Client's misuse of the website or breach of this Agreement.

11. Warranties & Limitation of Liability

Provider will perform the services in a professional manner. Beyond that, the website is provided as is. Provider makes no guarantee regarding search rankings, traffic volume, leads, or sales, and is not responsible for third-party outages (hosting providers, domain registrars, etc.). To the maximum extent permitted by law, Provider's total liability under this Agreement will not exceed the total fees paid by Client in the three (3) months preceding the claim, and Provider will not be liable for indirect or consequential damages.

12. Force Majeure

Neither party is liable for delays or failures (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, outages, or third-party platform failures.
